Terms of Service

These terms govern your use of TapReward. By creating a merchant account or using any part of the service, you agree to them. If you don't agree, don't use the service. If anything here is unclear, email us at hello@tapreward.co before signing up.
1. Definitions
- "TapReward", "we", "us" — the UK-based operator of the TapReward platform, reachable at hello@tapreward.co
- "Service" — the TapReward website, merchant dashboard, customer stamp cards, NFC tap flow, analytics, and all related software and hardware
- "Merchant", "you" — a business that has registered a TapReward account to run a loyalty programme
- "Customer" — an end-user who collects stamps at a merchant via an NFC tag or QR code
- "Subscription" — your recurring monthly payment plan with TapReward
2. The service
TapReward provides an NFC and QR-based loyalty platform for independent businesses. We supply the software, the merchant dashboard, analytics, and the NFC tag programming. You run the loyalty programme in your venue.
We continuously improve the Service and may add, remove, or change features. We'll give reasonable notice of material changes to merchants by email.
3. Eligibility and account registration
To register a merchant account, you confirm that:
- You are at least 18 years old
- You are authorised to act on behalf of the business you're registering
- The business is legally established and, where required, registered in the United Kingdom
- The information you provide is accurate and up to date
- You will keep your login credentials confidential
You're responsible for all activity under your account. If you suspect unauthorised access, change your password and contact us immediately.
4. Subscription and billing
TapReward is a paid service billed monthly. Current pricing is shown on our pricing page. By subscribing you agree to the following:
- Free trial — new merchants get a 14-day free trial. No charge during the trial. You can cancel anytime during the trial and pay nothing
- Billing — after the trial, your Subscription renews automatically every month via Stripe using the payment method you provided
- Taxes — prices exclude VAT where applicable. VAT will be added at checkout based on your billing address
- Price changes — we may change subscription prices with at least 30 days' notice. Price changes apply at your next billing cycle
- Failed payments — if a payment fails, your account will be marked past due. We'll retry and notify you. If unresolved after 7 days your account may be suspended
- Refunds — subscription fees are non-refundable for partial months. You can cancel at any time to stop future billing
5. Cancellation and termination
You can cancel your Subscription at any time from the merchant dashboard. Cancellation takes effect at the end of your current billing period. You'll keep access until that date.
We may suspend or terminate your account if you breach these terms, use the Service unlawfully, don't pay, or engage in activity that harms other users or the platform. We'll normally give you notice and an opportunity to fix the issue first, unless the breach is serious.
After termination, we'll retain your data for the period described in our Privacy Policy. You can request data export or deletion by emailing us.
6. Acceptable use
You agree not to use the Service to:
- Break any law or infringe anyone's rights
- Send spam or unsolicited marketing to customers who haven't opted in
- Harvest customer emails for purposes other than the loyalty programme
- Reverse engineer, decompile, or attempt to extract source code from the platform
- Probe, scan, or test the vulnerability of our systems without written permission
- Interfere with or disrupt the Service or overload our infrastructure
- Use the Service for illegal, fraudulent, or deceptive practices
- Run loyalty programmes that would harm consumers (e.g. promising rewards you have no intention of honouring)
We may investigate suspected breaches and take action, including suspension or termination of your account.
7. Loyalty programme rules
You — the merchant — are responsible for honouring the rewards you offer through TapReward. TapReward provides the technical platform to track stamps and issue reward tokens. The reward itself (e.g. a free coffee) is provided by you at your venue.
You agree that:
- You'll honour every validly issued reward at your advertised locations during normal opening hours
- You'll set reasonable, clearly communicated terms for your loyalty programme (e.g. "collect 6 stamps for a free coffee")
- You won't unilaterally void stamps customers have already legitimately collected
- If you discontinue TapReward, you'll give customers reasonable notice and honour outstanding rewards during the wind-down period
TapReward is not a party to the reward contract between you and your customer. We're not liable for the value of any reward or for disputes about whether a reward has been fulfilled.
8. Customer data and your responsibilities as controller
When customers tap to collect stamps at your venue, the personal data they provide (email, name, visit history) is your customer data. You're the data controller for that data under UK GDPR. TapReward processes it on your instructions as a processor.
You agree to:
- Display your own privacy notice to customers who collect stamps at your venue, or point them to TapReward's privacy policy if you don't have one
- Respond to customer data requests (access, deletion, etc.) within the UK GDPR timelines. TapReward will support you with technical tools to fulfil these
- Only use customer email addresses for the loyalty programme and legitimate related communications. Marketing nudges are only sent to customers who opted in at stamp collection
- Not share customer data with third parties outside the platform
9. Intellectual property
TapReward and all associated software, designs, branding, and content are owned by us. These terms don't transfer any intellectual property rights to you. You're granted a limited, non-exclusive, non-transferable licence to use the Service while your Subscription is active.
Your business name, logo, and content remain yours. By uploading them, you grant us permission to display them within the Service as needed to run your loyalty programme.
10. Warranties and disclaimers
We work hard to keep TapReward reliable, but the Service is provided "as is" and "as available". To the extent permitted by law, we don't warrant that:
- The Service will be uninterrupted, error-free, or secure
- The results from using the Service will meet your expectations
- Any errors in the Service will be corrected immediately
Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under English law.
11. Limitation of liability
To the fullest extent permitted by law, TapReward's total liability to you under or in connection with these terms — in contract, tort (including negligence), breach of statutory duty, or otherwise — is limited to the total subscription fees you paid us in the 12 months before the event giving rise to the claim.
We're not liable for indirect or consequential losses, including loss of profit, loss of revenue, loss of business, loss of anticipated savings, loss of goodwill, or loss or corruption of data beyond what our commercially reasonable backups can restore.
12. Indemnification
You agree to indemnify TapReward against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your breach of these terms; (b) your misuse of the Service; (c) your loyalty programme, including disputes with your customers about rewards; or (d) content you upload or submit to the Service.
13. Changes to these terms
We may update these terms from time to time. The "Last updated" date at the top shows when they were last changed. We'll notify merchants of material changes by email at least 14 days before they take effect. If you don't agree to the changes, you can cancel your Subscription before they take effect.
14. Governing law and jurisdiction
These terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these terms or the Service will be subject to the exclusive jurisdiction of the courts of England and Wales.
